Terms and Conditions

1. Scope of these terms

They cover the fuel, transport, storage and related services supplied under a commercial account.

They apply to every account. Where a signed account contract deals with the same matter, that contract prevails to the extent that it says so in writing.

Nothing in these terms is financial advice or a financial service.

2. Ordering and payment

2.1 Opening an account

Supply is on a commercial account. Before an account is opened, Fields Energy may request information about the customer and the site, and may decline to open an account.

2.2 Orders

An order is an offer to buy. It becomes binding when Fields Energy confirms acceptance in writing, against availability and an agreed delivery window.

2.3 Pricing

Pricing is confirmed for each delivery. Contracted volumes are priced against the agreed term for its full length.

2.4 Invoicing

Fields Energy invoices the volume delivered, as signed for on the delivery note. Invoicing frequency is agreed when the account is opened.

2.5 Payment

Payment terms are set in the account contract. Fields Energy may suspend supply while an account is overdue, until it is brought back into order.

2.6 Delivery

Delivery is made within the agreed window to the site named in the accepted order. Site readiness, discharge, measurement and shortfalls are confirmed in writing before the first delivery.

3. Risk, liability and governing law

3.1 Title and risk

Title and risk in the goods pass to the customer on discharge into the customer’s storage, unless the account contract provides otherwise.

3.2 Warranty

Fields Energy warrants that the goods supplied meet the specification stated for them at the point of discharge.

3.3 Condition after discharge

Fields Energy is not responsible for the condition of fuel after discharge into the customer’s storage, including deterioration from dwell time or water ingress.

3.4 Liability

Fields Energy does not exclude liability for death or personal injury caused by its negligence, or for any other liability that cannot lawfully be excluded. Subject to that, the account contract limits liability.

3.5 Force majeure

Neither party is in breach where performance is prevented by an event outside its reasonable control, including a border closure, a national fuel shortage or a regulatory instruction.

3.6 Termination

Either party may end an account on the written notice period set in the account contract. Fields Energy may suspend supply immediately where an account is overdue, or where continuing to supply would breach a legal or regulatory requirement.

3.7 Governing law

These terms, and any dispute or claim arising out of them, are governed by the laws of Zambia.
