These are the terms on which we supply fuel and services to you and your sites.

What do these terms cover?
They cover the fuel, transport, storage and related services we supply, and they don’t cover financial services.
These terms apply to everything we supply under your commercial account. That runs from fuel to installed equipment.
They apply to every account we open. A contract signed for your own account takes priority only where it says so in writing.
They bind Fields Energy Zambia Limited in Ndola and Fields Energy DMCC in Dubai. Which one you contract with depends on where your fuel is delivered.
Our delivery terms are set out separately. Where the two differ on a delivery matter, the delivery terms apply, and we’re happy to walk you through them.
How do you order and pay?
1. Scope
These terms apply to the goods and services described in an accepted order. Nothing in them is financial advice or a financial service.
2. Opening an account
We supply on a commercial account. Before we open one, we may ask for information about your business and your site, and we may decline to open an account without giving a reason.
3. Orders
An order is an offer to buy. It becomes binding when we confirm acceptance in writing, against availability and an agreed delivery window.
4. Pricing
Pricing follows the regulated wholesale position, and we confirm it for each delivery. Contracted volumes are priced against the agreed term for its full length.
5. Invoicing
We invoice you for the volume delivered, as signed for on the delivery note. We agree how often we invoice when your account opens.
6. Payment
Our payment terms are [TBC: payment terms]. We may suspend supply while an account is overdue, until it is brought back into order.
7. Delivery
We deliver within the agreed window to the site named in the accepted order. Our delivery terms set out site readiness, discharge, measurement and shortfalls in full.
Who carries risk and liability?
8. Title and risk
Title and risk in the goods pass to you when they are discharged into your storage, unless your account contract says otherwise.
9. Warranties
We warrant that the goods we supply meet the specification stated for them at the point of discharge. That specification is [TBC: specification].
10. Condition after discharge
We are not responsible for the condition of fuel once it has been discharged into your storage, including deterioration from dwell time or water ingress.
11. Liability
We do not exclude liability for death or personal injury caused by our negligence, or for anything else that cannot lawfully be excluded. Subject to that, your account contract limits our liability.
12. Force majeure
Neither of us is in breach where performance is prevented by an event outside our reasonable control, including a border closure, a national fuel shortage or a regulatory instruction.
13. Termination
Either of us may end an account on written notice of [TBC: notice period]. We may suspend supply immediately where an account is overdue, or where continuing to supply would breach a licence condition.
14. Governing law
These terms are governed by [TBC: governing law], which depends on the contracting entity. Your account contract states which law applies.
